Terms of Service for UpKwest

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and UpKwest ("UpKwest," "we," "us," or "our") concerning your access to and use of the UpKwest mobile application, web application, and Chrome extension (collectively, the "Application" or "Service").

By accessing, downloading, installing, or using the Application, you signify that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Application and must discontinue use immediately.

1. Agreement to Terms

We provide you with access to and use of the UpKwest Application subject to your compliance with these Terms. These Terms govern your use of the UpKwest, which includes its web dashboard, mobile application, and the associated Chrome extension. Your agreement to these Terms is a condition precedent to your use of the Application.

2. Description of Service

UpKwest is a comprehensive job application tracking system designed to help job seekers stay organized, track applications, and improve their job search process. We provide a web application and a Chrome extension with distinct but integrated functionalities.

Web Application Features:

Application Management: We offer tools to add, edit, track the status of, and organize your job applications within a Next.js dashboard.
Source Tracking: Users can categorize applications by their source, such as LinkedIn, Indeed, or Glassdoor.
Resume Management: We allow you to upload and track which specific resume was used for each application.
Tag and Label Organization: Users can categorize applications using custom tags and labels.
Statistics and Analytics: We provide features to track your progress, interview rates, and the performance of different job sources.
AI Features (Pro Tier): For our Pro subscribers, we offer advanced AI capabilities, including cover letter generation and interview preparation tools, powered by Google Gemini and Claude AI.
Job Pods: We enable collaborative tracking with teams through job pods.
Referral System: We provide a referral system where users can invite friends and earn points.
Subscription Tiers: We offer both Free and Pro subscription tiers, each providing different sets of features.

Chrome Extension Features:

Quick Add: We enable users to add job applications directly from any job board in seconds without leaving the page.
Auto-Extract: The extension provides one-click extraction of job information from popular job boards like LinkedIn, Indeed, and Glassdoor.
Progressive Form: We offer a multi-step form (Basic Info → Details → Review) for adding comprehensive application data.
Tag Selection: Users can select from existing tags directly within the extension.
Resume Tracking: We allow you to choose which resume was used for an application via the extension.
Smart Source Detection: The extension automatically detects the job source from the URL.
Real-time Sync: All data added via the extension syncs in real-time with your UpKwest web dashboard.
Overview and Stats: Users can view recent applications and statistics directly within the extension.
Secure Authentication: We provide secure OAuth sign-in with the web app for the extension.
Lifetime Access: Access to the Chrome extension is granted through a one-time payment of $5.

The Application utilizes a backend powered by Supabase (PostgreSQL, Auth, Storage) to ensure robust data management and secure user authentication.

3. User Accounts and Registration

To access most features of the UpKwest, you must register for an account. We offer secure OAuth sign-in to facilitate this process.

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account password and are solely responsible for all activities that occur under your account.
You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

4. Acceptable Use Policy

You agree to use the UpKwest solely for its intended purpose: tracking and managing your job applications. You must comply with all applicable local, national, and international laws and regulations.

You will not use the Application for any illegal or unauthorized purpose.
You will not interfere with or disrupt the integrity or performance of the Application or the data contained therein.
You will not attempt to gain unauthorized access to the Application or its related systems or networks.
You will not use the Application to transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
You will not engage in any activity that could damage, disable, overburden, or impair the Application or interfere with any other party's use and enjoyment of the Application.

5. User Responsibilities

As a User of UpKwest, you agree to:

Comply with all applicable laws and these Terms of Service.
Provide accurate, current, and complete information when creating and maintaining your account, and promptly update any changes to keep your information accurate, current, and complete.
Maintain the confidentiality of your account credentials and be solely responsible for all activities that occur under your account.
Be solely responsible for all User-Generated Content you upload, submit, or transmit through the Application, ensuring it does not violate any third-party rights or applicable laws.
Understand that UpKwest is a tool designed to assist with job search organization and does not guarantee employment or specific job search outcomes.
Exercise your own judgment when using AI-generated content (e.g., cover letters, interview prep) and verify its accuracy and appropriateness for your specific needs. UpKwest is not responsible for the content generated by third-party AI models.
Promptly notify UpKwest of any unauthorized use of your account, any security breach, or any violation of these Terms you become aware of.
Cooperate with any reasonable requests from UpKwest related to your use of the Application, including investigations into potential violations of these Terms.

6. Intellectual Property

We own all intellectual property rights in the UpKwest, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Application (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein ("Marks"). The Content and Marks are provided to you "AS IS" for your information and personal use only.

You retain ownership of any data, information, or material (including job application details, resumes, and notes) that you submit to the Application ("User-Generated Content"). However, by submitting User-Generated Content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User-Generated Content solely for the purpose of operating, improving, and providing the UpKwest Service to you and other users, including for the functionality of AI features where applicable. This license extends to our third-party service providers (e.g., Supabase for storage, Google Gemini/Claude AI for processing Pro features).

7. Use License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Application for your personal, non-commercial job search tracking purposes. This license does not permit you to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Content, except as incidentally necessary to access and use the Application.

8. Payment Terms

Subscription Tiers (Web Application):

We offer both Free and Pro subscription tiers for the UpKwest web application. Access to certain features, such as AI-powered cover letter generation and interview prep, requires a Pro subscription.
Subscription fees for the Pro tier are billed on a recurring basis (e.g., monthly or annually) as specified during the subscription process.
Payments for subscriptions are processed securely through Paystack. You agree to abide by Paystack's terms and conditions.
By subscribing, you authorize us, via Paystack, to charge your chosen payment method for the applicable subscription fees.
Subscription fees are non-refundable, except as required by law. You may cancel your Pro subscription at any time, and access to Pro features will continue until the end of your current billing cycle.

Chrome Extension Access:

Access to the UpKwest Chrome extension requires a one-time payment of $5 (USD). This payment grants you lifetime access to the extension.
This one-time payment is processed securely through Paystack. You agree to abide by Paystack's terms and conditions.
The one-time payment for the Chrome extension is non-refundable.

We reserve the right to change our prices at any time. Any price changes will be communicated to you in advance and will take effect at the start of your next billing cycle for subscriptions, or for new purchases of the Chrome extension.

9. User-Generated Content

The UpKwest allows you to upload, store, and manage various forms of data, including job application details, resumes, cover letters, notes, tags, and other related information ("User-Generated Content").

You are solely responsible for your User-Generated Content and the consequences of submitting and publishing it on the Application.
You affirm, represent, and warrant that your User-Generated Content does not violate any third-party rights, including copyright, trademark, patent, trade secret, privacy, or publicity rights.
You agree not to upload, post, or transmit any User-Generated Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
We do not endorse any User-Generated Content and expressly disclaim any and all liability in connection with User-Generated Content. We reserve the right, but are not obligated, to remove or modify User-Generated Content for any reason.

10. Prohibited Activities

You may not access or use the Application for any purpose other than that for which we make the Application available. The Application may not be used in connection with any commercial endeavors except those specifically endorsed or approved by us.

Prohibited activities include, but are not limited to:

Systematically retrieving data or other content from the Application to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
Making any unauthorized use of the Application, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email.
Circumventing, disabling, or otherwise interfering with security-related features of the Application, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Application and/or the Content contained therein.
Engaging in unauthorized framing of or linking to the Application.
Interfering with, disrupting, or creating an undue burden on the Application or the networks or services connected to the Application.
Using any information obtained from the Application in order to harass, abuse, or harm another person.
Using the Application as part of any effort to compete with us or otherwise use the Application and/or the Content for any revenue-generating endeavor or commercial enterprise.
Deciphering, decompiling, disassembling, or reverse engineering any of the software comprising or in any way making up a part of the Application.
Attempting to bypass any measures of the Application designed to prevent or restrict access to the Application, or any portion of the Application.
Uploading or transmitting (or attempting to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Application or modifies, impairs, disrupts, alters, or interferes with the use, features, function, operation, or maintenance of the Application.
Uploading or transmitting (or attempting to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats ("gifs"), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as "spyware" or "passive collection mechanisms" or "pcms").
Except as may be the result of standard search engine or Internet browser usage, using or launching any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Application, or using or launching any unauthorized script or other software.
Disparaging, tarnishing, or otherwise harming, in our opinion, us and/or the Application.
Using the Application in a manner inconsistent with any applicable laws or regulations.

11. Termination

We may, in our sole discretion, suspend or terminate your account and your access to the UpKwest at any time, with or without notice, for any reason, including but not limited to a breach of these Terms. We are not liable to you or any third party for any such termination.

Upon termination, your right to use the Application will immediately cease. If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party.

You may terminate your account at any time by contacting us at team.enfusionx@gmail.com or through any account deletion features provided within the Application. Upon termination, we will delete your User-Generated Content in accordance with our Privacy Policy and applicable data protection laws, including GDPR.

12. Limitation of Liability

The UpKwest is provided on an "AS-IS" and "AS-AVAILABLE" basis. We make no warranties or representations about the accuracy or completeness of the Application's content or the content of any websites or mobile applications linked to the Application.

To the fullest extent permitted by law, in no event will UpKwest, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Application, even if we have been advised of the possibility of such damages.

Our liability to you for any cause whatsoever, regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

We are not responsible for any issues arising from your use of third-party job boards, AI services (Google Gemini, Claude AI), or payment processors (Paystack) integrated into or linked from the Application.

13. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your User-Generated Content; (2) your use of the Application; (3) your breach of these Terms; (4) any breach of your representations and warranties set forth in these Terms; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Application with whom you connected via the Application.

Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

14. Dispute Resolution

Informal Negotiations: To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a "Dispute" and collectively, the “Disputes”) brought by either you or us, you and we agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration or court proceeding. Such informal negotiations commence upon written notice from one party to the other.

Binding Arbitration: If you and UpKwest are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. You understand that without this provision, you would have the right to sue in court and have a jury trial. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer-Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website: www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in State of Delaware, USA.

15. Governing Law

These Terms and your use of the Application are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.

Notwithstanding the foregoing, we acknowledge and adhere to the principles of the General Data Protection Regulation (GDPR) regarding the processing of personal data of individuals residing in the European Economic Area. Where GDPR applies, your data protection rights and our obligations will be governed by GDPR, in conjunction with these Terms and our Privacy Policy.

16. Changes to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms, and you waive any right to receive specific notice of each such change.

It is your responsibility to periodically review these Terms to stay informed of updates. Your continued use of the Application after the date such revised Terms are posted will constitute your acceptance of such changes.
